Terms of service

The agreement between Buyvendi Pty Ltd and the venue that subscribes to Atlas OS. Plain English, and short enough to actually read.

Who this agreement is with

Atlas OS is operated by Buyvendi Pty Ltd, ABN 81 142 015 334, of New South Wales, Australia. In these terms "we" and "us" mean Buyvendi, and "you" means the business that subscribes to Atlas — the venue, not the individual staff members who use it.

What this is not

These terms are between us and your business. They are not an employment agreement, and they do not sit between you and your staff. What you owe the people who clock in on Atlas — their pay, their entitlements, their records — is yours under the Fair Work Act and your own agreements with them. Atlas helps you keep those records. It does not change them, and using it is not advice about them.

What a subscription gives you

While your subscription is current you may use Atlas to run your venue: rostering, time and attendance, payroll preparation, stock and stocktakes, recipes and costing, invoices, food-safety records and the reporting built on them. You may create accounts for your staff and managers.

The subscription is a licence to use the product as it is provided. It does not transfer any ownership of the software, and it is for your venue's own operations rather than resale.

What we ask of you

We use Atlas ourselves

The people who build Atlas also run hospitality venues, and those venues use this product. It is why the software exists and why it works the way it does. It also means we are a customer of our own system, so we are telling you rather than leaving you to discover it.

Your data is yours

You own your venue's data — your staff records, rosters, timesheets, stock, recipes, invoices and everything else you put into Atlas. We hold and process it to run the service for you, and for nothing else. We do not sell it, and we do not use one venue's data to advantage another.

How we collect, use, hold and disclose personal information, who else touches it, and where in the world it sits, is set out in our privacy policy, which forms part of this agreement. Our database is hosted in Australia; some processing and file storage still happens overseas, and the privacy policy says exactly which parts and why.

Getting your data out, and deletion

While your subscription is current you can export your data from within Atlas at any time.

If you cancel, ask us and we will give you an export of your venue's data. Ask within 30 days of cancelling, because after that we may begin deleting it. Some records are kept longer where the law requires it — employee records carry a seven-year retention under the Fair Work Act, and the privacy policy explains which fields that covers and which are cleared on deletion.

If you ask us to delete your account, we delete it. We will tell you what is being kept and why rather than quietly retaining it.

Availability, honestly

We do not promise a percentage of uptime, because we have not built the redundancy that would let us honour one and we are not going to print a number we cannot stand behind.

What we actually do: Atlas runs on Cloudflare's network and a managed Postgres database with automated backups. We deploy changes behind an automated test suite that has to pass first. When something breaks we fix it, and if it affects your data we tell you.

The service may be unavailable for maintenance, or because something upstream of us is down. Keep your own records of anything you cannot afford to lose.

Fees and billing

Fees, the billing period and any trial are agreed with you in writing before your subscription starts. We do not publish standard tiers, so whatever we have agreed with you is the price — there is no separate rate card that overrides it.

If we change your fees we will tell you at least 30 days before the change takes effect, and you may cancel before it does. Fees are in Australian dollars and, where GST applies, are stated inclusive of it.

Cancelling

You can cancel at any time by emailing [email protected]. Your subscription runs to the end of the period you have paid for, and we do not pro-rate a refund for part of a period unless the law requires it.

We may suspend or end an account for unpaid fees, or for use that is unlawful or that puts other venues at risk. Except where something is seriously wrong, we will contact you first and give you a chance to fix it.

Support

Support is by email at [email protected], and it reaches a person. We do not promise a response time. See our support page for what to include so the first reply is useful.

Liability

Australian Consumer Law gives you guarantees that cannot be excluded, and nothing in these terms excludes, restricts or modifies them. Where our services come with such a guarantee and we fail to meet it, you have the rights the law gives you, including to a remedy for a major failure.

Beyond those rights, and to the extent the law allows us to limit our liability: we are not liable for indirect or consequential loss, or for loss of profits, revenue or data; and our total liability for any claim is limited to the fees you paid us in the twelve months before it arose.

Atlas prepares payroll and stock figures from what you enter. We are not your accountant, bookkeeper or lawyer, and reviewing those figures before you act on them is yours to do.

Changes to these terms

We may update these terms. If a change materially affects you we will tell you at least 30 days before it takes effect, and continuing to use Atlas after that means you accept it. If you do not, you can cancel.

Governing law

These terms are governed by the laws of New South Wales, Australia, and the courts of New South Wales have jurisdiction.
